Terms & Conditions - GenAI for Geospatial Challenge (EMEA)
Purpose
When selected as winner of the GenAI for Geospatial Challenge (EMEA), you will enter an Award Agreement with thriveGEO GmbH. thriveGEO agrees to facilitate the award of AWS credits (the “Credits”) to support the Awardee’s geospatial generative AI project (the “Project”) described in their Generative AI for Geospatial Challenge (EMEA) submission, subject to the expectations outlined below.
Award Terms
- Completion Deadline: Awardee agrees to complete the Project and exhaust the awarded credits by April 15, 2026.
- Promotion Cooperation: Awardee shall cooperate with thriveGEO and AWS in promoting the Project through public communications, including but not limited to social media campaigns, podcasts, conferences, or other forums.
- Written Report: Upon Project completion, Awardee will submit a written report to thriveGEO summarizing the experience and key learnings.
- Progress Updates: Awardee agrees to join a dedicated discussion space and provide a brief monthly update on Project progress.
- Project Showcase: Awardee shall participate in a thriveGEO-led demonstration/showcase with other awardees following the Project’s conclusion.
- AWS Account Management: the Awardee is required to establish an AWS account specifically designated for utilizing the awarded credits. The awarded credits will be linked to the established account. Each awardee must assign a Point of Contact (POC) to manage and administer this account. Awardees hereby acknowledge that any costs exceeding the provided AWS credits will be their sole responsibility and will not be covered neither by thriveGEO nor AWS.
- Acknowledgement in Publications: Awardee shall cite thriveGEO and AWS as supporters in any publications or papers resulting from the Project.
- Compliance with AWS Terms & Conditions: Awardee shall comply fully with AWS standard Terms & Conditions for use of credits as defined in the documents found at http://aws.amazon.com/agreement and http://aws.amazon.com/awscredits/.
- Intellectual Property Rights: The Awardee retains full ownership of all intellectual property rights, including, but not limited to, patents, copyrights, trademarks, and trade secrets, subsisting in the innovation project, its results, and any underlying technology developed by the Awardee using the AWS credits (“Project IP”). thriveGEO and AWS acknowledge and agree that they claim no ownership rights over the Project IP. Notwithstanding the foregoing, the Awardee grants thriveGEO and AWS a non-exclusive, worldwide, royalty-free, perpetual, and irrevocable license to use, reproduce, modify, display, and distribute non-confidential descriptions, summaries, and presentations of the Project, as well as the written report submitted under section 2.c., for promotional and informational purposes as outlined in section 2.b. This license does not extend to the underlying source code, proprietary data, or internal architecture of the Project IP without the Awardee’s separate written consent.
- Limitation of Liability: thriveGEO’s liability for damages incurred by the Awardee in connection with the Project or the provision of credits is excluded. This exclusion does not apply to cases of intent (Vorsatz) or gross negligence (grobe Fahrlässigkeit) on the part of thriveGEO.
Credit Usage
The Credits are non-transferable, non-redeemable for cash, and must be used solely for the awarded Project.
Termination
An award may be terminated and remaining Credits forfeited for a good cause (wichtiger Grund). A good cause includes, but is not limited to, a material breach (wesentliche Verletzung) of this Agreement by the Awardee (e.g., fraudulent use of credits, or repeated, uncorrected failure to provide required updates or reports). thriveGEO will generally provide the Awardee with a written warning (Abmahnung) and a reasonable deadline to remedy the breach before termination, unless the breach is so severe that immediate termination is justified.
Governing Law and Jurisdiction
This Agreement, its interpretation, and all legal relations arising out of or in connection with it, shall be governed exclusively by the laws of the Federal Republic of Germany (Bundesrepublik Deutschland). The exclusive place of jurisdiction (Gerichtsstand) for all disputes arising from or in connection with this Agreement shall be the courts responsible for the registered office of thriveGEO.
